1. Agreement Overview
These Terms of Service ("Terms") govern your business relationship with SHANSU ("Company," "we," "us," or "our") regarding the purchase, customization, and distribution of electric outdoor sports products including electric bicycles, scooters, motorcycles, and ATVs.
By placing an order or engaging in OEM/ODM services with SHANSU, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Product & Services
Complete Vehicle Sales
We offer multiple product series covering different market segments and price ranges. All vehicles are manufactured in our Zhejiang facility with ISO 9001 certified quality management.
OEM/ODM Customization
Clients may customize appearance, battery capacity, accessories (storage boxes, child seats, anti-slip tires, upgraded seats, decorative parts), and smart systems (App/Bluetooth integration). Customization specifications must be confirmed in writing before production.
Technical Support
We provide fast charging solutions (2-3 hours), compliant modification kits, and technical documentation. Support is available during business hours (GMT+8) via email and WhatsApp.
3. Quality Assurance
All products undergo our rigorous 3-phase quality inspection process:
Static Inspection
Exterior, frame, torque verification, tires, braking system, and lighting components.
System Diagnostics
Electrical safety insulation testing, battery BMS communication, controller diagnostics, and smart connectivity verification.
Dynamic Road Test
Acceleration, braking, suspension, and steering performance testing on our factory test track.
Inspection records are maintained for each vehicle and available upon request. Vehicles that fail any phase are not approved for shipment.
4. Warranty Terms
2-Year Core Component Warranty
- Covered Components: Motor, battery pack, controller, and frame structural integrity.
- Exclusions: Normal wear items (tires, brake pads, grips), cosmetic damage, unauthorized modifications, misuse, or accidents.
- Claim Process: Contact us within 7 days of discovering defects with photos, serial number, and purchase documentation.
5. Certifications & Compliance
SHANSU products comply with international safety and quality standards including:
Clients are responsible for ensuring compliance with local regulations in their target markets. We provide necessary documentation to support certification processes.
6. Payment & Pricing
- Payment Terms: 30% deposit upon order confirmation, 70% balance before shipment. Wire transfer (T/T) is the standard method.
- Pricing: All prices are FOB Ningbo/Shanghai unless otherwise specified. Prices are valid for 30 days from quotation date.
- Customization Fees: MOQ and tooling costs apply to custom molds, colors, or branded components. Details provided in quotation.
7. Shipping & Delivery
- Lead Time: Standard products: 15-25 days. Custom orders: 30-45 days after deposit and design approval.
- Shipping Method: Sea freight (LCL/FCL) is standard. Air freight available at additional cost for urgent orders.
- Risk Transfer: Risk transfers to Client upon loading at port of origin (FOB terms). We recommend purchasing cargo insurance.
- Inspection: Clients may arrange pre-shipment inspection at our facility. Notify us 7 days in advance.
8. Intellectual Property
For OEM/ODM projects, clients retain ownership of their brand names, logos, and custom designs provided to us. SHANSU retains ownership of proprietary manufacturing processes, tooling designs, and technical documentation.
Clients grant SHANSU permission to use product images and project details (with brand information redacted) for portfolio and marketing purposes unless a non-disclosure agreement specifies otherwise.
9. Limitation of Liability
SHANSU's total liability for any claim arising from product defects shall not exceed the purchase price of the affected products. We are not liable for:
- • Indirect, consequential, or punitive damages
- • Damages caused by misuse, unauthorized modifications, or improper maintenance
- • Delays due to force majeure events (natural disasters, pandemics, trade restrictions)
- • Third-party claims arising from Client's distribution or sale of products
10. Termination
Either party may terminate ongoing business relationships with 30 days written notice. Orders already in production cannot be canceled without mutual agreement and may incur cancellation fees covering materials and labor costs incurred.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Hangzhou, Zhejiang Province, under the China International Economic and Trade Arbitration Commission (CIETAC) rules.
12. Amendments
SHANSU reserves the right to update these Terms at any time. Material changes will be communicated to existing clients via email. Continued business engagement after notification constitutes acceptance of updated Terms.
